Cultural Association POLYMNIA
Art. 1. Name of the association
It is hereby constituted a non-profit association named:
ASSOCIAZIONE CULTURALE POLYMNIA
Art. 2. Registered office
The registered office of the Association is in Rome, Via Santa Costanza, 38. The Association may open other offices in Italy. The Board of Directors may decide to change the address of the registered office, without any modifications of the present Bylaws.
Art. 3. Purpose of the Association
The Association has a democratic structure and principles. The Association is a legal entity under Italian Private Law, organized in accordance with the Italian Civil Code, the present Bylaws and the democratic nature of its structure, based on elective unpaid offices.
The Association is independent from every political party and it does not pursue profit.
The purpose of the Association is organizing events and activities to highlight the importance of theItalian territory, from a cultural, historical and naturalistic point of view, in order to promote Italian art through cultural tourism.
The Association may engage in all the activities mentioned in the present Bylaws and any other activity, related to the institutional purposes, that can contribute to the achievement of its objectives.
The Association may engage in investment, financial, commercial, promotional or editorial activities,related to its objectives. The Association may support or promote the activities of other associations or companies with similar purposes.
Art. 4. Activities of the Association
In order to achieve its objectives, the Association may be involved in the following activities:
– organizing guided tours and cultural trips throughout Italian territory;
– developing and promoting tourism in Italy, submitting itineraries to Travel agencies and international Tour Operators;
– spreading cultural content through information, telematic and multimedia technologies;
– organizing meetings, debates, seminars and conferences related to cultural topics;
– cooperating with Entities, Associations, Federations, Institutions and professionals, companies or enterprises that are interested or involved in cultural and tourism activities;
– using the website www.polymnia.roma.it to share cultural events on a regular basis, to promote the activities of the Association, to handle the membership requests, to give notice of the General Meeting and to post pictures available on the internet, not pursuing profit;
– cooperating with other entities or cultural associations, in Italy or abroad;
– engaging in any other activity related to the institutional purposes, that is useful for the achievement of the objectives of the Association.
Art. 5. Duration
The Association is founded for an undetermined period of time.
Art. 6 Members
Anyone who shares the purposes of the Association and wishes to contribute in a meaningful way to its objectives can become a member. Aspiring members must submit an application for membership that is available on the website of the Association.
The members of the Association are divided into founding members, ordinary members, sustaining members and honorary members.
– The Founding Members are those individuals who founded the Association.
– The Ordinary or Active Members are those individuals who wish to join the Association and completely share its purposes and principles.
– The Sustaining Members are those individuals or companies who wish to provide additional financial support or personally contribute to the activities of the Association.
– The Honorary Members are those individuals who made outstanding contributions or are experienced in promoting and spreading culture.
New members are required to pay an annual fee established each year by the Board of Directors. The fee for the year 2017 is 10.00 Euros.
The members of the Association have equal rights and obligations.
Membership status is lost for:
1) resignation; 2) death; 3) misconduct; refunds and compensations are not available; 4) failure to pay the annual membership fee.
The offices are always unpaid except for the expenditure incurred performing a specific task in the interests of the Association, within the limits established by the Association.
The Association may hire members or third parties if it is necessary for its activities and it may provide lump sum payments with prior approval of the Board of Directors to those individuals who manage and organize the activities of the Association and for those individuals who perform administrative, management and secretarial tasks. All payments must be recorded.
Art. 7. Rights and obligations of members
Members have the right to:
1) attend the General Meeting and vote in every meeting;
2) to be involved in the Association and its activities;
3) express their opinion;
4) be regularly updated about the Association.
Members have the obligation to:
1) abide by these Bylaws and the Regulations of the Association;
2) pay contributions and engage in the activities of the Association;
3) behave appropriately and contribute to the objectives of the Association.
Art. 8 Governing Bodies
The Governing Bodies are:
The General Assembly; the President; the Board of Directors. In accordance with the democratic nature of the Association all offices must be elective.
Art.9. The General Assembly
The General Assembly is the ultimate governing authority of the Association. It consists of all members who paid the annual fee. Members may be convened via video conference.
The Assembly is convened by the President of the Association at least once a year and any other time the President believes it is necessary.
The President or a councilor shall preside over the Assembly.
The Assembly may be convened via the website of the Association or e-mail and it may not be convened at the registered office.
At the first call the General Assembly is validly constituted by the presence of half plus one of the Members; at the second call, the Assembly is validly constituted by any number of members present.
The meeting of the General Assembly must be recorded in the minutes, signed by the President and the Secretary.
Art. 10. Financial resources
The Association shall have financial resources consisting of:
- a) annual membership fees and voluntary contributions made by members;
- b) voluntary contributions made by third parties, entities or associations;
- c) contributions made my members who engage in the activities organized by the Association, such as courses, conferences and other events;
- d) donations and legacies;
- e) income from secondary commercial activities, related to the activities of the Association and necessary for the achievement of its objectives.
Art.11. Assets of the Association
The assets of the Association shall be used exclusively for the purposes established by these Bylaws.
Members shall have no right or interest in the assets of the Association, which shall not be distributed among them.
Art.12. Non-transferable membership
Membership cannot be transferred and it has a symbolic value.
Art.13. Dissolution of the Association
In case of dissolution of the Association, the General Assembly shall appoint a liquidator and any remaining assets will be donated to another non-profit association with a similar purpose or with a public purpose, or in accordance with Italian Law.
Art.14. Matters not mentioned in the Bylaws
For all matters not explicitly mentioned in these Bylaws, the provisions regarding non-profit entities and cultural associations contained in the Italian Civil Code shall be applied.
